Creator Partner Program

1. About the Program

The Parcelra Creator Partner Program is designed to collaborate with content creators who wish to promote Parcelra and contribute to the growth of the platform.

Participation in the Program does not automatically make you a shareholder or entitle you to receive equity.

Any equity, options, or other rewards will only be granted under a separate written agreement signed by both Parcelra and the selected Creator.

2. Eligibility

To participate, you must:

• Be at least 18 years old.
• Provide accurate and complete information during the application process.
• Own and control the social media accounts you submit.
• Comply with all applicable laws and platform policies.
• Agree to these Terms & Conditions.

Parcelra reserves the right to accept or reject any application at its sole discretion.

3. Selection

Submitting an application does not guarantee acceptance.

Parcelra may consider factors including:

• Content quality
• Audience engagement
• Brand fit
• Professionalism
• Consistency
• Geographic reach
• Community reputation

Parcelra may invite creators for interviews or additional screening before making a decision.

4. Creator Responsibilities

Selected creators agree to:

• Produce original content.
• Represent Parcelra honestly and professionally.
• Avoid misleading or false claims.
• Follow any campaign guidelines provided by Parcelra.
• Maintain respectful behaviour toward the Parcelra community.
• Protect confidential company information.

5. Content Ownership and Licence

Creators retain ownership of the original content they create unless otherwise agreed.

However, by participating in the Program, you grant Parcelra a worldwide, royalty-free, non-exclusive licence to:

• Repost your content.
• Edit your content.
• Use your content in advertisements.
• Publish your content on Parcelra's website, app, and social media channels.
• Use your content in presentations, investor materials, promotional campaigns, and other marketing materials.

This licence continues even after your participation ends unless otherwise agreed in writing.

6. Equity Opportunities

Any equity opportunity offered through the Program:

• Is entirely discretionary.
• Is subject to a separate written Equity Agreement.
• May include vesting schedules, performance milestones, minimum participation periods, and other conditions.
• Does not become effective until all required legal documents are signed.

No verbal statements, marketing materials, or social media posts constitute an offer of equity.

7. Performance Expectations

Creators may be expected to meet agreed performance requirements, which may include:

• A minimum number of content pieces.
• Consistent participation over an agreed period.
• Professional communication.
• Compliance with campaign requirements.

Specific targets will be communicated separately.

8. Confidentiality

Creators must keep confidential any non-public information received from Parcelra, including but not limited to:

• Business strategies
• Product roadmaps
• Financial information
• Marketing plans
• Customer information
• Internal communications

This obligation continues after participation ends.

9. Code of Conduct

Creators must not:

• Publish offensive, discriminatory, hateful, or illegal content while representing Parcelra.
• Damage the reputation of Parcelra intentionally.
• Misrepresent Parcelra's services.
• Purchase fake followers or fake engagement to influence selection or rewards.

Parcelra may remove any creator who breaches these standards.

10. Termination

Parcelra may suspend or terminate participation immediately if a creator:

• Breaches these Terms.
• Fails to comply with Program requirements.
• Damages Parcelra's reputation.
• Provides false information.
• Engages in fraudulent or unlawful activity.

Termination does not automatically affect rights or obligations under any separate equity agreement, which will govern those matters.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Parcelra is not liable for indirect, incidental, special, or consequential losses arising from participation in the Program.

Participation is voluntary and at the creator's own risk.

12. Changes to the Program

Parcelra may modify, suspend, or discontinue the Program or these Terms at any time. Material changes will be communicated through appropriate channels.

13. Privacy

Parcelra will collect and process personal information for the purpose of administering the Program in accordance with its Privacy Policy and applicable data protection laws.

14. Governing Law

These Terms & Conditions shall be governed by the laws of the Republic of Ghana, unless otherwise specified in a separate written agreement.
